Ufish End-User License Agreement (EULA)

Please read this agreement carefully before using the App.

1. Parties to the Agreement

This End-User License Agreement ("EULA") is a legal agreement between Ufish ("Licensor," "we," "us") and you ("End-User," "you") regarding the use of the Ufish application ("the App").

2. Grant of License

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on compatible devices that you own or control, solely for your personal, non-commercial purposes.

3. Usage Restrictions

You agree not to:

  • Copy, modify, adapt, translate, or create derivative works of the App or any part thereof;

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;

  • Rent, lease, sublicense, sell, distribute, or transfer the App;

  • Use the App for any unlawful purpose or in a manner that violates applicable laws and regulations;

  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices contained in the App.

4. Intellectual Property Rights

The App and its entire contents, features, and functionality (including but not limited to all source code, object code, designs, interfaces, graphics, trademarks, copyrights, and trade secrets) are the exclusive property of the Licensor or its licensors. All rights not expressly granted to you in this EULA are reserved by the Licensor.

5. User Content

If you submit, upload, or post any content through the App ("User Content"):

  • You retain ownership of your User Content;

  • You grant us a non-exclusive, royalty-free license to use, reproduce, and display your User Content solely for the purpose of operating and providing the App's services;

  • You represent and warrant that your User Content does not infringe the rights of any third party.

6. Termination

This Agreement is effective until terminated. The license granted to you will terminate automatically, without notice, if you violate any term of this Agreement. Upon termination, you must cease using the App and delete all copies of the App from your devices.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE APP, OR [USD $100] IF THE APP IS FREE.

9. Indemnification

You agree to indemnify, defend, and hold harmless [Your Company Name] and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the App, your violation of this EULA, or your infringement of any third-party rights.

10. Third-Party Terms

You must comply with applicable third-party terms of service when using the App (e.g., your wireless data service agreement, or terms of mapping services if used within the App).

11. Legal Compliance

You represent and warrant that: (i) you are not located in a country subject to a U.S. government embargo, or designated as a "terrorist-supporting" country; and (ii) you are not listed on any U.S. government list of prohibited or restricted parties.

12. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of laws principles. Any dispute arising out of or relating to this EULA shall be [submitted to the competent courts in Portugal.

13. Changes to this EULA

We reserve the right to modify or update this EULA at any time. If we make material changes, we will notify you via in-app notification or other means. Your continued use of the App after the effective date of the changes constitutes your acceptance of the revised terms.
